Well, it\u2019s not so simple, say lawyers"},"content":{"rendered":"<p> <br \/>\n<\/p>\n<div data-v-4bbf85c5=\"\">\n<p>Recently reported planned enforcement action against the Paxos Trust Company by the\u00a0United States Securities and Exchange Commission (SEC) over Binance USD (<a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/binance-usd-busd-price-index\" rel=\"noopener\">BUSD<\/a>)\u00a0has many in the community questioning how the regulator could see a stablecoin as a security. <\/p>\n<p>Blockchain lawyers told Cointelegraph that while the answer isn\u2019t black and white, there exists an argument for it if the stablecoin was issued in the expectation of profits or are derivatives of securities.<\/p>\n<p>A report from The Wall Street Journal on Feb. 12 revealed that the SEC is <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/stablecoin-issuer-paxos-to-face-sec-lawsuit-over-binance-usd-report\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/stablecoin-issuer-paxos-to-face-sec-lawsuit-over-binance-usd-report\/amp\" rel=\"noopener\">planning to sue Paxos Trust Company<\/a> in relation to its issuance of Binance USD, a stablecoin it created in partnership with Binance in 2019. Within the notice, the SEC reportedly alleges that BUSD is an unregistered security.<\/p>\n<blockquote class=\"twitter-tweet\">\n<p lang=\"en\" dir=\"ltr\">don&#8217;t hate me but custodial stablecoins are probably all securities<\/p>\n<p>I have said this consistently <\/p>\n<p>US securities laws are just insanely broad&#8230;<a target=\"_blank\" href=\"https:\/\/t.co\/JDsB0v93Sw\" rel=\"noopener\">https:\/\/t.co\/JDsB0v93Sw<\/a><\/p>\n<p>\u2014 _gabrielShapir0 (@lex_node) <a target=\"_blank\" href=\"https:\/\/twitter.com\/lex_node\/status\/1624940745042935811?ref_src=twsrc%5Etfw\" rel=\"noopener\">February 13, 2023<\/a><\/p><\/blockquote>\n<p>Aaron Lane, a senior lecturer at RMIT\u2019s Blockchain Innovation Hub, told Cointelegraph that while the SEC may claim these stablecoins to be securities, that proposition hasn\u2019t been conclusively tested by the U.S. Courts:<\/p>\n<blockquote><p>\u201cWith stablecoins, a particularly contentious issue will be whether the investment in the stablecoin led a person to an expectation of profit (the \u2018third arm\u2019 of the Howey test).\u201d<\/p><\/blockquote>\n<p>\u201cOn a narrow view, the whole idea of the stablecoin is that it is stable. On a broader view, it could be argued that arbitrage, hedging and staking opportunities provide an expectation of profit,\u201d he said. <\/p>\n<p>Lane also explained that a stablecoin might fall under U.S. securities laws in the event that it is found to be a derivative of a security.<\/p>\n<p>This is something that <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/sec-chairman-says-cryptocurrency-falls-under-security-based-swaps-rules\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/sec-chairman-says-cryptocurrency-falls-under-security-based-swaps-rules\/amp\" rel=\"noopener\">SEC Chair Gary Gensler emphasized<\/a> strongly in a July 2021 speech to the American Bar Association Derivative and Futures Law Committee:<\/p>\n<blockquote><p>\u201cMake no mistake: It doesn\u2019t matter whether it\u2019s a stock token, a stable value token backed by securities, or any other virtual product that provides synthetic exposure to underlying securities.\u201d<\/p><\/blockquote>\n<p>\u201cThese platforms \u2014 whether in the decentralized or centralized finance space \u2014 are implicated by the securities laws and must work within our securities regime,\u201d he said at the time.<\/p>\n<p>However, Lane stressed that ultimately each case \u201cwill turn on its own facts,\u201d particularly when <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/altcoins-for-beginners\/stablecoins-101-what-are-crypto-stablecoins-and-how-do-they-work\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/altcoins-for-beginners\/stablecoins-101-what-are-crypto-stablecoins-and-how-do-they-work\/amp\" rel=\"noopener\">adjudicating on an algorithmic stablecoin<\/a> rather tha a crypto or fiat-collateralized one. <\/p>\n<p>A recent <a target=\"_blank\" href=\"https:\/\/www.quinnemanuel.com\/media\/u0qhjtzw\/are-stablecoins-securities.pdf\" rel=\"noopener nofollow\">post<\/a> by Quinn Emanuel Trial Lawyers has also approached the subject, explaining that to \u201cramp up\u201d stablecoins to a \u201cstable value,\u201d they may sometimes be offered on discounted prior to sufficiently stabilizing.<\/p>\n<p>\u201cThese sales may support an argument that initial purchasers, despite formal disclaimers by issuers and purchasers alike, buy with the intent for resale following stabilization at the higher price,\u201d it wrote. <\/p>\n<figure><img decoding=\"async\" src=\"https:\/\/s3.cointelegraph.com\/uploads\/2023-02\/dd498801-108f-4407-be46-ca6fd123d396.jpg\" alt=\"\" title=\"\" \/><figcaption style=\"text-align: center\"><em>Are Stablecoins Securities? Source. <\/em><em>Quinn Emanuel.<\/em><\/figcaption><\/figure>\n<p>But while stablecoin issuers may resort to the courts to decide the dispute, many believe the SEC\u2019s \u201cregulation by enforcement\u201d approach is uncalled for.<\/p>\n<p>Digital assets lawyer and partner Michael Bacina of Piper Alderman, told Cointelegraph that the SEC should instead provide \u201csensible guidance\u201d to help the industry players who are seeking to be legally compliant:<\/p>\n<blockquote><p>\u201cRegulation by enforcement is an inefficient way of meeting policy outcomes, as SEC Commissioner Peirce has recently observed in her blistering dissent in relation to the Kraken prosecution. When a rapidly growing industry doesn\u2019t fit the existing regulatory framework and has been seeking clear pathways to compliance, then engagement and sensible guidance is a far superior approach than resorting to lawsuits.\u201d<\/p><\/blockquote>\n<p>Cinneamhain Ventures partner Adam Cochran gave another view to his 181,000 Twitter followers on Feb. 13, noting that the SEC can sue any company that issues financial assets under the much broader Securities Act of 1933:<\/p>\n<blockquote class=\"twitter-tweet\">\n<p lang=\"en\" dir=\"ltr\">1\/5<\/p>\n<p>This is what people don&#8217;t realize.<\/p>\n<p>Howey test = precedent for investment contracts.<\/p>\n<p>&#8220;Securities&#8221; is a much broader category defined by the 1933 Securities Act.<\/p>\n<p>Honestly, if the SEC wants to, with how vague the act is, its fairly easy to put anything under it. <a target=\"_blank\" href=\"https:\/\/t.co\/TbHKqO3zLD\" rel=\"noopener\">https:\/\/t.co\/TbHKqO3zLD<\/a><\/p>\n<p>\u2014 Adam Cochran (adamscochran.eth) (@adamscochran) <a target=\"_blank\" href=\"https:\/\/twitter.com\/adamscochran\/status\/1624947461646163973?ref_src=twsrc%5Etfw\" rel=\"noopener\">February 13, 2023<\/a><\/p><\/blockquote>\n<p>The digital asset investor then explained that the SEC isn\u2019t restricted to the Howey Test:<\/p>\n<blockquote><p>\u201cThe fact that these assets hold underlying treasuries, makes them a lot like a money market fund, exposing holders to a security, even if they don&#8217;t earn from it. Making an argument (not one I agree with, but a reasonable enough one) that they can be a security.\u201d<\/p><\/blockquote>\n<p>\u201cWorth fighting tooth and nail, but everyone who is shrugging this off as \u201clol the SEC got it wrong, this doesn\u2019t pass the Howey test\u201d needs to re-eval. The SEC, believe it or not, has knowledgeable securities counsel,\u201d he added.<\/p>\n<p><strong><em>Related: <\/em><\/strong><a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/sec-chair-compares-stablecoins-to-casino-poker-chips\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/sec-chair-compares-stablecoins-to-casino-poker-chips\/amp\" rel=\"noopener\"><strong><em>SEC chair compares stablecoins to casino poker chips <\/em><\/strong><\/a><\/p>\n<p>The latest reported planned action from the SEC comes after reports emerged on Feb. 10 that <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/stablecoin-issuer-paxos-probed-by-new-york-regulators\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/stablecoin-issuer-paxos-probed-by-new-york-regulators\/amp\" rel=\"noopener\">Paxos Trust was being investigated<\/a> by the New York Department of Financial Services for an unconfirmed reason. <\/p>\n<p>Commenting on the initial reports, a spokesperson for Binance said BUSD is a \u201cPaxos issued and owned product,\u201d with Binance licensing its brand to the firm for use with BUSD. It added Paxos is regulated by the New York Department of Financial Services (NYDFS) and that BUSD is a \u201c1 to 1 backed stablecoin.\u201c<\/p>\n<p>\u201cStablecoins are a critical safety net for investors seeking refuge from volatile markets, and limiting their access would directly harm millions of people across the globe,\u201d the spokesperson added. \u201cWe will continue to monitor the situation.
