{"id":23627,"date":"2022-07-22T12:58:21","date_gmt":"2022-07-22T12:58:21","guid":{"rendered":"http:\/\/egrowonline.com\/?p=23627"},"modified":"2022-07-22T12:58:21","modified_gmt":"2022-07-22T12:58:21","slug":"the-sec-decides-some-alt-coins-are-securities","status":"publish","type":"post","link":"http:\/\/egrowonline.com\/?p=23627","title":{"rendered":"The SEC decides some alt-coins are securities"},"content":{"rendered":"<p> <br \/>\n<\/p>\n<div data-attribute=\"article-content-body\">\n<p>The institutionalisation of cryptocurrencies <a target=\"_blank\" href=\"https:\/\/www.ft.com\/content\/b1687d9d-22f2-43bd-8a0a-8dc40b6930ab\" data-trackable=\"link\" rel=\"noopener\">continues at pace<\/a>. <\/p>\n<p>The latest development: we have learned that some alt-coins are securities, because you can catch SEC charges for insider-trading them.\u00a0(Criminal charges too, though that\u2019s a different matter.) <\/p>\n<p>The US Securities and Exchange Commission has <a target=\"_blank\" href=\"https:\/\/www.sec.gov\/litigation\/complaints\/2022\/comp-pr2022-127.pdf\" rel=\"noreferrer noopener\" data-trackable=\"link\">charged a few lads<\/a> with trading alt-coins ahead of their listings on Coinbase Global\u2019s exchanges, which pretty reliably caused a bump in the coin price. And the US attorney in the Southern District of New York is bringing <a target=\"_blank\" href=\"https:\/\/www.justice.gov\/usao-sdny\/pr\/three-charged-first-ever-cryptocurrency-insider-trading-tipping-scheme\" rel=\"noreferrer noopener\" data-trackable=\"link\">criminal charges against the trio<\/a>, claiming the wire-fraud charges are its \u201c<a target=\"_blank\" href=\"https:\/\/www.bloomberg.com\/opinion\/articles\/2022-06-02\/don-t-insider-trade-nfts\" rel=\"noreferrer noopener\" data-trackable=\"link\">first ever<\/a>\u201d insider-trading tipster case in cryptocurrency markets. (<a target=\"_blank\" href=\"https:\/\/www.bloomberg.com\/opinion\/articles\/2022-06-02\/don-t-insider-trade-nfts\" rel=\"noreferrer noopener\" data-trackable=\"link\">Contrast that<\/a> with its \u201c<a target=\"_blank\" href=\"https:\/\/www.justice.gov\/usao-sdny\/pr\/former-employee-nft-marketplace-charged-first-ever-digital-asset-insider-trading-scheme\" rel=\"noreferrer noopener\" data-trackable=\"link\">first ever digital asset<\/a>\u201d insider-trading case, where the guy with the inside information was trading on his own.)<\/p>\n<p><a target=\"_blank\" href=\"https:\/\/www.crunchbase.com\/person\/ishan-wahi\" rel=\"noreferrer noopener\" data-trackable=\"link\">Ishan Wahi<\/a>, a 32-year-old who was product manager at Coinbase until May of this year, is accused of sending tips about coin listings to his brother Nikhil Wahi, 26, and a friend named Sameer Ramani, age 33. US authorities say in their complaints that the pair bought coins ahead of the listings and sold them after, usually at a profit. <\/p>\n<p>None of this activity fell anywhere close to a grey area for Coinbase, as the complaints say employees were repeatedly informed that this type of trading and disclosure was not permitted. From the SEC\u2019s complaint:<\/p>\n<blockquote class=\"n-content-blockquote\">\n<p>At all relevant times, Coinbase\u2019s employee policies stated that \u201cmaterial nonpublic information\u201d included \u201cinformation about a decision by Coinbase to list, not list, or add features to a Digital Asset [separately defined to include tokens].\u201d The policies further emphasised that Coinbase employees should never disclose material, nonpublic information to any other person, including family and friends, or tip others who might make a trading decision using that material, nonpublic information.<\/p>\n<\/blockquote>\n<p>But the SEC\u2019s reach doesn\u2019t extend as far as you** might think.<\/p>\n<p>While the trio allegedly traded 25 tokens ahead of their listing announcements, the SEC is only arguing that nine of them were securities. Also from the SEC complaint, with our emphasis: <\/p>\n<blockquote class=\"n-content-blockquote\">\n<p>Throughout the relevant period, Nikhil and Ramani repeatedly traded ahead of Coinbase listing announcements, trading in at least 25 tokens\u2009.\u2009.\u2009.\u2009this repeated pattern of Ishan tipping Nikhil and Ramani with inside information, followed by Nikhil and Ramani trading on that information, included trading in <strong>at least nine crypto asset securities<\/strong>, which were listed in seven of these announcements.<\/p>\n<\/blockquote>\n<p>Those tokens are: <a target=\"_blank\" href=\"https:\/\/coinmarketcap.com\/currencies\/amp\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">Amp<\/a>, <a target=\"_blank\" href=\"https:\/\/coinmarketcap.com\/currencies\/rally\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">Rally<\/a>, <a target=\"_blank\" href=\"https:\/\/coinmarketcap.com\/currencies\/derivadao\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">DerivaDAO<\/a>, <a target=\"_blank\" href=\"https:\/\/coinmarketcap.com\/currencies\/xyo\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">XYO<\/a>, <a target=\"_blank\" href=\"https:\/\/coinmarketcap.com\/currencies\/rari-governance-token\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">Rari Governance Token<\/a>, <a target=\"_blank\" href=\"https:\/\/coinmarketcap.com\/currencies\/lcx\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">LCX<\/a>, <a target=\"_blank\" href=\"https:\/\/coinmarketcap.com\/currencies\/power-ledger\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">Powerledger<\/a>, <a target=\"_blank\" href=\"https:\/\/coinmarketcap.com\/currencies\/dfx-finance\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">DFX Finance<\/a> and <a target=\"_blank\" href=\"https:\/\/coinmarketcap.com\/currencies\/kromatika\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">Kromatica<\/a>.<\/p>\n<p>This brings us back to our <a target=\"_blank\" href=\"https:\/\/www.ft.com\/content\/425eef4d-fca0-3d90-86ec-064fd36ec63a\" data-trackable=\"link\" rel=\"noopener\">old friend the Howey test<\/a>. As we learned from <a target=\"_blank\" href=\"https:\/\/www.sec.gov\/litigation\/investreport\/34-81207.pdf\" rel=\"noreferrer noopener\" data-trackable=\"link\">the DAO<\/a> and our <a target=\"_blank\" href=\"https:\/\/ftalphaville-cdn.ft.com\/wp-content\/uploads\/2017\/07\/24121522\/Alphachain.pdf\" data-trackable=\"link\" rel=\"noopener\">Alphachain project<\/a>, that test <a target=\"_blank\" href=\"https:\/\/www.sec.gov\/corpfin\/framework-investment-contract-analysis-digital-assets\" rel=\"noreferrer noopener\" data-trackable=\"link\">creates a few standards<\/a> that a token needs to meet before it can be considered a security. <\/p>\n<p>In other words, big congrats to the folks who run AMP, RLY, DDX, XYO, RGT, LCX, POWR, DFX and KROM! The SEC says it\u2019s reasonable for investors to expect to make money based on your managerial efforts. You were able to list a security without the messy initial public offering process! <\/p>\n<p>Does this mean that these trades would be allowed in tokens that <em>aren\u2019t <\/em>securities? <\/p>\n<p>Well, there is one big reason it\u2019s a bad idea: the Department of Justice\u2019s filing doesn\u2019t include arguments about the regulatory status of the tokens at all, because <a target=\"_blank\" href=\"https:\/\/www.bloomberg.com\/opinion\/articles\/2022-06-02\/don-t-insider-trade-nfts\" rel=\"noreferrer noopener\" data-trackable=\"link\">as we all know<\/a>, <a target=\"_blank\" href=\"https:\/\/www.justia.com\/criminal\/offenses\/white-collar-crimes\/wire-fraud\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">wire fraud charges<\/a> cover a wide array of financial crimes. <\/p>\n<p>So if you\u2019re going to try to pull this type of scheme off*, you would need to avoid communicating with anyone electronically in interstate or foreign commerce, while using online digital-asset trading platform Coinbase, which has offices in Chicago, New York, Portland, London, Dublin and Tokyo. <\/p>\n<p>You also probably wouldn\u2019t want to use a <a target=\"_blank\" href=\"https:\/\/www.usatoday.com\/story\/news\/2015\/04\/07\/dea-bulk-telephone-surveillance-operation\/70808616\/\" rel=\"noreferrer noopener\" data-trackable=\"link\">foreign phone<\/a> as an alleged way to escape attention from US authorities. Or to allegedly try to flee the country when you suspect you\u2019re about to get in trouble. From the filing, with our emphasis: <\/p>\n<blockquote class=\"n-content-blockquote\">\n<p>Ishan repeatedly tipped his brother, Nikhil, and his close friend, Ramani, with material, nonpublic information about those listings\u2019 timing and content. Ishan communicated by phone and text with both Nikhil and Ramani during 2021 and 2022, including <strong>exchanging phone calls and messages with both that would not be captured in US phone company records because, among other things, Ishan was using a phone with a non-U. S. phone number<\/strong> (the \u201cForeign Phone\u201d). For example, on October 20, 2021, the same day as a Coinbase listing announcement, Nikhil messaged Ishan\u2019s Foreign Phone a dollar sign and the eyes emoji: \u201c$ &#x1f440;&#x1f440;.\u201d\u2009.\u2009.\u2009.\u2009<\/p>\n<p>Nikhil\u2019s and Ramani\u2019s suspicious trading drew attention. On May 11, 2022, Coinbase\u2019s Director of Security Operations emailed Ishan to schedule an interview with Coinbase\u2019s Legal Department in connection with an \u201congoing company investigation into Coinbase\u2019s asset listing process.\u201d Ishan \u2014 using the Foreign Phone \u2014 then sent a screen shot of the interview request to both Nikhil and Ramani, and stated that he needed to speak with them urgently.<strong> On Monday, May 16 \u2014 the day of his scheduled interview \u2014 Ishan emailed coworkers that he would be \u201cout indefinitely\u201d because he \u201chad to fly back to India overnight.\u201d Ishan did not appear for his scheduled interview, but was prevented from leaving the country by law enforcement.<\/strong> Using the Foreign Phone, Ishan tried to call both Nikhil and Ramani several times on May 16.<\/p>\n<\/blockquote>\n<p>*Please do not do this.<\/p>\n<p>**The \u201cyou\u201d in this case is not 1) a lawyer, 2) interested in jurisdictional issues of securities law, or 3) following the ongoing and long-term debate about whether various crypto tokens\/vehicles are securities.
