{"id":21385,"date":"2022-06-30T00:07:51","date_gmt":"2022-06-30T00:07:51","guid":{"rendered":"http:\/\/egrowonline.com\/?p=21385"},"modified":"2022-06-30T00:07:51","modified_gmt":"2022-06-30T00:07:51","slug":"hester-peirce-criticizes-lack-of-legal-clarity-for-crypto","status":"publish","type":"post","link":"http:\/\/egrowonline.com\/?p=21385","title":{"rendered":"Hester Peirce criticizes lack of legal clarity for crypto"},"content":{"rendered":"<p> <br \/>\n<br \/><img decoding=\"async\" src=\"https:\/\/images.cointelegraph.com\/images\/840_aHR0cHM6Ly9zMy5jb2ludGVsZWdyYXBoLmNvbS91cGxvYWRzLzIwMjItMDYvMTNkZTg3NmUtYTE4Yy00MWZiLTg0YWQtZmYyMTA5ODM3Mjc0LmpwZw==.jpg\" \/><\/p>\n<div data-v-2a0745c6=\"\">\n<p>The crypto sector may be maturing, but regulatory clarity around the treatment of digital assets continues to remain cumbersome.\u00a0<\/p>\n<p>This was recently <a target=\"_blank\" href=\"https:\/\/www.sec.gov\/news\/speech\/peirce-remarks-regulatory-transparency-project-conference\" rel=\"noopener nofollow\">highlighted<\/a> by Commissioner <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/top-people-in-crypto-and-blockchain-2021\/hester-peirce\" rel=\"noopener\">Hester Peirce<\/a> \u2014 also known as the United States Securities and Exchange Commission\u2019s (SEC) \u201ccrypto mom\u201d \u2014 in remarks she made at \u201cThe Regulatory Transparency Project Conference on Regulating the New Crypto Ecosystem: Necessary Regulation or Crippling Future Innovation?\u201d<\/p>\n<p>Peirce began her speech by emphasizing the importance of \u201cregulating the new crypto ecosystem.\u201d While this may be, Peirce also noted that the crypto industry is still in <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/hester-peirce-expresses-strong-support-for-crypto-spot-etfs-and-regulatory-structure\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/hester-peirce-expresses-strong-support-for-crypto-spot-etfs-and-regulatory-structure\/amp\" rel=\"noopener\">search of an actual regulator<\/a>. She said:\u00a0<\/p>\n<p>\u201cA bipartisan bill announced last week attempts to answer that question. Some people in the crypto industry are celebrating the allocation of certain authorities to the Commodity Futures Trading Commission (CFTC) instead of the Securities and Exchange Commission. This view is likely rooted in a disappointment that the SEC has not used more proactively the authorities it already has to sensibly regulate crypto.\u201d\u00a0<\/p>\n<blockquote class=\"twitter-tweet\">\n<p lang=\"en\" dir=\"ltr\">Everyone asks me when a spot bitcoin ETP will be approved.  Here&#8217;s my answer: <a target=\"_blank\" href=\"https:\/\/t.co\/25M5kCDF1Q\" rel=\"noopener\">https:\/\/t.co\/25M5kCDF1Q<\/a><\/p>\n<p>\u2014 Hester Peirce (@HesterPeirce) <a target=\"_blank\" href=\"https:\/\/twitter.com\/HesterPeirce\/status\/1537169110571827200?ref_src=twsrc%5Etfw\" rel=\"noopener\">June 15, 2022<\/a><\/p><\/blockquote>\n<p>After noting this, Peirce added that she is \u201chopeful that we can change course and use our existing and any prospective authorities wisely.\u201d Yet, before explaining how this may be accomplished, Peirce was quick to point out that <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/one-river-s-spot-bitcoin-etf-application-rejected-by-sec\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/one-river-s-spot-bitcoin-etf-application-rejected-by-sec\/amp\" rel=\"noopener\">her criticisms on topics<\/a> such as the denial of a Bitcoin (<a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/bitcoin-price\" rel=\"noopener\">BTC<\/a>) exchange-traded product (ETP) are targeted at the SEC Commission rather than the staff. \u201cThe staff appropriately is following the Commission\u2019s lead, and the Commission has not been leading well,\u201d she remarked.<\/p>\n<h2>Regulatory matters for crypto industry<\/h2>\n<p>While a number of digital asset bills have been <a target=\"_blank\" href=\"https:\/\/www.ncsl.org\/research\/financial-services-and-commerce\/cryptocurrency-2022-legislation.aspx\" rel=\"noopener nofollow\">passed<\/a> this year, the first half of Peirce\u2019s speech focused on the approval of a spot Bitcoin ETP in the United States, which she mentioned is the question she gets asked about most. While spot ETPs have successfully launched in other regions such as Europe and Canada \u2014 which saw 1 billion Canadian dollars in <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/canadian-bitcoin-etf-predicted-to-hit-1b-aum-by-friday-bloomberg-analyst\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/canadian-bitcoin-etf-predicted-to-hit-1b-aum-by-friday-bloomberg-analyst\/amp\" rel=\"noopener\">assets under management<\/a> a month after its launch in 2022 \u2014 the SEC has <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/why-the-world-needs-a-spot-bitcoin-etf-in-the-us-21shares-ceo-explains\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/why-the-world-needs-a-spot-bitcoin-etf-in-the-us-21shares-ceo-explains\/amp\" rel=\"noopener\">continued to push back on this offering.\u00a0<\/a><\/p>\n<p>Unfortunately, Peirce remarked that she still \u201chas no idea\u201d when the SEC would approve a spot Bitcoin ETP, noting that \u201cthe Commission has added crypto-specific hurdles to what used to be fairly straightforward processes for approving these pooled investment vehicles.\u201d Moreover, while Peirce is aware that the Commission\u2019s resistance to a spot Bitcoin product is difficult to understand, she noted that the Commission has \u201cdetermined to subject anything related to Bitcoin.\u201d <\/p>\n<p>Indeed, while the U.S. crypto ecosystem continues to push forward, industry experts are still left pondering whether a spot Bitcoin ETP will soon be approved. Eric Balchunas and James Seyffart, an exchange-traded fund (EFT) analyst for Bloomberg, recently said that if crypto platforms <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/sec-could-approve-spot-bitcoin-etfs-as-early-as-2023-bloomberg-analysts\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/sec-could-approve-spot-bitcoin-etfs-as-early-as-2023-bloomberg-analysts\/amp\" rel=\"noopener\">fall under the SEC\u2019s regulatory framework<\/a>, a spot ETF may occur in mid-2023. <\/p>\n<p>However, <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/lummis-gillibrand-bill-establishes-sec-cftc-balance-of-power-over-crypto-markets\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/lummis-gillibrand-bill-establishes-sec-cftc-balance-of-power-over-crypto-markets\/amp\" rel=\"noopener\">the bipartisan crypto bill<\/a>, also known as the \u201cResponsible Financial Innovation Act\u201d that was <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/lummis-gillibrand-bill-establishes-sec-cftc-balance-of-power-over-crypto-markets\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/lummis-gillibrand-bill-establishes-sec-cftc-balance-of-power-over-crypto-markets\/amp\" rel=\"noopener\">introduced in the United States Senate<\/a> on June 7, 2022, has yet to determine if the SEC or CFTC will be responsible for the allocation of digital assets. <\/p>\n<p>Regardless, the push for a spot Bitcoin ETP remains a strong-willed battle, especially for digital asset management firms like Grayscale Investments. Michael Sonnenshein, CEO of Grayscale, recently <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/grayscale-gears-up-for-legal-battle-with-sec-over-bitcoin-etf\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/grayscale-gears-up-for-legal-battle-with-sec-over-bitcoin-etf\/amp\" rel=\"noopener\">said that the firm is gearing up<\/a> for a legal fight if Grayscale\u2019s <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/bitcoin-for-beginners\/bitcoin-etfs-a-beginners-guide-to-exchange-traded-funds\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/bitcoin-for-beginners\/bitcoin-etfs-a-beginners-guide-to-exchange-traded-funds\/amp\" rel=\"noopener\">Bitcoin spot ETF<\/a> is denied by the SEC. <\/p>\n<p>Shortly after this disclosure, Grayscale <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/grayscale-hires-former-solicitor-general-to-help-force-bitcoin-etf-approval\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/grayscale-hires-former-solicitor-general-to-help-force-bitcoin-etf-approval\/amp\" rel=\"noopener\">hired Donald B. Verrilli<\/a>, a former U.S. Solicitor General, to join the firm to help push for a Bitcoin spot ETF. During a<a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/consensus-2022-web3-unpacking-regulations-and-optimism-for-crypto-s-future\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/consensus-2022-web3-unpacking-regulations-and-optimism-for-crypto-s-future\/amp\" rel=\"noopener\"> press conference at Consensus 2022<\/a>, Verrilli went into detail about his plans to convince the SEC to convert Grayscale\u2019s Bitcoin Trust into a spot-based ETF.\u00a0<\/p>\n<p>According to Verrilli, the SEC\u2019s approval of a Bitcoin futures ETF <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/sec-approves-valkyrie-s-bitcoin-futures-etf\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/sec-approves-valkyrie-s-bitcoin-futures-etf\/amp\" rel=\"noopener\">proved to be consistent<\/a> with U.S. Security Laws, demonstrating that there was no significant underlying risk or fraud and manipulation. As such, Verrilli believes this created a situation where the approval of a Bitcoin spot ETF should be treated similarly to that of a futures ETF. He said:<\/p>\n<p>\u201cThe Administrative Procedure Act is a federal statute that regulates the conduct of all federal agencies, including the SEC. It sets out rules about what kinds of procedures agencies have to comply with. One of the most fundamental of these is that the agency not be \u2018arbitrary and capricious.\u2019 There is a common sense understanding that it\u2019s arbitrary and capricious to treat cases that are alike in a different manner, and that is what the problem is here for not granting approval of a spot ETF.\u201d <\/p>\n<p><strong><em>Recent:\u00a0<a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/blockchain-s-potential-how-ai-can-change-the-decentralized-ledger\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/blockchain-s-potential-how-ai-can-change-the-decentralized-ledger\/amp\" rel=\"noopener\">Blockchain&#8217;s potential: How AI can change the decentralized ledger<\/a><\/em><\/strong><\/p>\n<p>Peirce further explained in her remarks that the SEC allowed futures-based Bitcoin ETFs to begin trading in October 2021, saying: <\/p>\n<blockquote><p>\u201cEnabling the change was a clear signal from Chair Gary Gensler, who pointed to the 1940 Act protections, along with the CFTC\u2019s oversight of the futures markets, as a key basis for his comfort with such products. These funds proved popular, but demand for a spot-based product remains because futures products are more expensive to manage and may not as closely track the spot price.\u201d\u00a0<\/p><\/blockquote>\n<p>Peirce elaborated on the importance of a spot ETP, noting that this type of product \u201ccould enable retail investors to gain exposure to Bitcoin through a securities product that, because of the effective ETF arbitrage mechanisms, likely would track the price of spot Bitcoin closely.\u201d She added that it would likely be inexpensive to manage such a fund, while sitting \u201cconveniently in an investors\u2019 brokerage account alongside other securities.\u201d\u00a0<\/p>\n<p>In addition to the approval of a Bitcoin spot ETP, regulatory clarity around stablecoins is becoming more important than ever before. This has become the case mainly due to the <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/how-terra-s-collapse-will-impact-future-stablecoin-regulations\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/how-terra-s-collapse-will-impact-future-stablecoin-regulations\/amp\" rel=\"noopener\">recent collapse of the Terra ecosystem<\/a>. Senator Pat Toomey, the ranking member of the Senate Banking Committee, told Cointelegraph that the Terra collapse influences legislation in the sense that it serves as a \u201cwake-up\u201d call to the federal government. <\/p>\n<p>\u201cMy own view is that algorithmic stablecoins should be treated separately from fiat-asset backed stablecoins. They are totally different creatures,\u201d he said. However, Toomey added that there is currently no regulatory regime for asset-backed stablecoins. Yet, he believes this is important to establish, noting that stablecoins backed by traditional instruments like cash and securities plug into the conventional financial system. <\/p>\n<p>Given this, it\u2019s important to point out that Toomey recently <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/toomey-drafts-bill-to-exempt-stablecoins-from-securities-regulations\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/toomey-drafts-bill-to-exempt-stablecoins-from-securities-regulations\/amp\" rel=\"noopener\">drafted a regulatory framework for stablecoins<\/a>, known as the Stablecoin Transparency of Reserves and Uniform Safe Transactions Act, or TRUST Act. This framework proposes that digital assets be identified as \u201cpayment stablecoins,\u201d or a convertible digital currency used as a medium of exchange that can be redeemed for fiat by the issuer. While the TRUST Act remains a framework, Toomey mentioned that stablecoin regulation might appear at the end of 2022.\u00a0<\/p>\n<p>Shedding light on this, Kevin O\u2019Leary \u2014 venture capitalist and Chairman of O\u2019Leary Ventures \u2014 told Cointelegraph that while the bipartisan bill sponsored by senators Cynthia Lummis of Wyoming and Kirsten Gillibrand of New York addresses stablecoin regulation, he thinks that the frameworks proposed by Toomey, along with the Stablecoin transparency ACT sponsored by Senator Bill Hagerty, will likely pass first: <\/p>\n<blockquote><p>\u201cBoth of these are the same in the sense that they only contemplate stablecoins. In terms of regulation, these suggest that stablecoins open themselves up for an audit every 30-days, and that no asset inside these tokens can be there longer than a duration of 12-months.\u201d<\/p><\/blockquote>\n<p>According to O\u2019Leary, this is a money-market strategy. He added that Circle\u2019s USD Coin (<a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/usdc-price-index\" rel=\"noopener\">USDC<\/a>) stablecoin hasn\u2019t broken its U.S. dollar peg, even with recent crypto market volatility and the Terra collapse. \u201cThere is a lot more promise today from something backed 100% by the U.S. dollar than there is from something algorithmically backed.\u201d\u00a0<\/p>\n<h2>Enforcement actions short-cut regulatory process\u00a0<\/h2>\n<p>According to Peirce, the lack of regulatory clarity within the crypto ecosystem has proven that the SEC Commission requires a more productive path to regulation. \u201cThe Commission\u2019s reluctance to approve a spot Bitcoin ETP is of a piece with its more general reluctance to build a regulatory framework for crypto using standard regulatory processes,\u201d she stated in her speech.\u00a0<\/p>\n<p>As such, Peirce pointed out that the SEC has \u201ccobbled together a regulatory framework through enforcement actions.\u201d Peirce demonstrated this by <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/happy-to-be-regulated-fallout-from-blockfi-settlement-is-a-matter-of-speculation\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/happy-to-be-regulated-fallout-from-blockfi-settlement-is-a-matter-of-speculation\/amp\" rel=\"noopener\">referencing the BlockFi and SEC settlement<\/a> that took place in February 2022. <\/p>\n<p>She noted that the SEC laid a foundation for BlockFi to register under the Securities Act, which, if successful, could likely become the standard for regulating crypto lending. While notable, Peirce explained that a better approach would have been to first identify crypto lending as implicating the securities laws and to then invite lenders and other members of the public involved with the case to discuss an appropriate path forward. <\/p>\n<p>Toomey also mentioned that SEC Chair Gensler has been \u201cpushing the limits of authority,\u201d mentioning this last week during his press conference at Consensus 2022:<\/p>\n<blockquote><p>\u201cI also think he has claimed that virtually all crypto assets are securities without explaining how and why that is so. This is not reasonable because it creates concern about an enforcement action without someone fully understanding what will result in enforcement action and what won&#8217;t. Regulation by enforcement is a terrible approach.\u201d\u00a0<\/p><\/blockquote>\n<h2>Optimism for change\u00a0<\/h2>\n<p>Given crypto\u2019s current regulatory environment, it\u2019s notable that Peirce concluded her speech on a high note, remarking that she is \u201coptimistic that we can change course,\u201d as long as both investors and the SEC take a more proactive approach.\u00a0<\/p>\n<p>Although this \u201capproach\u201d remains rather vague, some examples of how this may take shape have come to fruition. For example, O\u2019Leary <a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/kevin-o-leary-backed-wonderfi-to-acquire-canadian-crypto-exchange-coinberry-for-38-5m\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/kevin-o-leary-backed-wonderfi-to-acquire-canadian-crypto-exchange-coinberry-for-38-5m\/amp\" rel=\"noopener\">explained that WonderFi Technologies<\/a>, a decentralized finance (DeFi) platform, will become the first Canada-regulated digital asset exchange to be listed on the Toronto Stock Exchange (TSX). <\/p>\n<p><strong><em>Recent:\u00a0<a target=\"_blank\" href=\"https:\/\/cointelegraph.com\/news\/regulations-and-exchange-delistings-put-future-of-private-cryptocurrencies-in-doubt\" data-amp=\"https:\/\/cointelegraph-com.cdn.ampproject.org\/c\/s\/cointelegraph.com\/news\/regulations-and-exchange-delistings-put-future-of-private-cryptocurrencies-in-doubt\/amp\" rel=\"noopener\">Regulations and exchange delistings put future of private cryptocurrencies in doubt<\/a><\/em><\/strong><\/p>\n<p>\u201cTSX has never listed a crypto exchange before, but invited WonderFi to list because they are fully compliant and there is institutional interest in the sector,\u201d he said. O\u2019Leary also mentioned that he believes cryptocurrencies will become the twelfth sector of the S&amp;P 500 over the next decade because of the potential digital assets provide, such as reducing high fees and speeding up financial services in various economic sectors. <\/p>\n<p>All things considered, the listing of WonderFi on the TSX is important for U.S. regulators because it demonstrates how investors can work with regulators to make strides in the industry. O\u2019Leary also mentioned that G7 country regulators talk to each other daily, noting that he thinks the SEC views advancements in Canada as potential use cases that may work in the United States:<\/p>\n<blockquote><p>\u201cRegulators in Ontario allowed the first Bitcoin and Ethereum ETF. If the SEC didn\u2019t approve this, the Ontario Securities Commission never would have allowed this.
